memgram Terms of Service

You must be legally capable of entering into these Terms and using the Services.

If you are using the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

memgram provides AI memory infrastructure, observability, tracing, and related developer tooling. The Services may include:

• APIs
• memory processing pipelines
• embeddings and retrieval systems
• traces and observability tooling
• dashboards
• hosted infrastructure
• related developer tools and integrations

The Services may evolve over time and features may be added, modified, or removed.

You are responsible for:

• maintaining the security of your account
• safeguarding your credentials
• all activities occurring under your account

You agree to provide accurate account information. We may suspend or terminate accounts that violate these Terms or create risk to the Services, users, or third parties.

You may submit data, content, messages, metadata, or other information to the Services ("Customer Data"). Customer Data may include:

• conversations
• memory payloads
• traces
• embeddings
• metadata
• logs
• user identifiers
• operational telemetry

You retain ownership of your Customer Data. You grant Stykite a limited right to process Customer Data solely to:

• provide the Services
• operate and maintain the Services
• improve reliability and performance
• prevent abuse and security incidents
• generate analytics and operational insights

We do not use Customer Data to train foundation models or generalized AI systems.

You are solely responsible for the legality of Customer Data, obtaining required consents, complying with applicable laws and regulations, and determining whether the Services are appropriate for your use case. You should not submit regulated or highly sensitive information unless you are legally authorized to do so.

memgram interacts with AI systems and probabilistic technologies. You acknowledge that:

• AI-generated outputs may be inaccurate or incomplete
• memory extraction and retrieval may not always behave as expected
• AI systems may produce inconsistent or probabilistic results
• observability and tracing features may evolve over time

You are responsible for validating outputs generated through your use of the Services.

You agree not to:

• use the Services for unlawful purposes
• interfere with or disrupt the Services
• attempt unauthorized access to systems or accounts
• abuse, spam, or overload the infrastructure
• reverse engineer or attempt to extract source code except where permitted by law
• use the Services to distribute malware or harmful code
• engage in automated scraping of the Services
• use the Services in violation of export controls or sanctions laws
• use the Services to infringe intellectual property or privacy rights
• use the Services in ways that create unreasonable operational or security risk

We may suspend or terminate access for violations of this section.

Certain features require a paid subscription. Subscriptions are billed by Stykite, Inc. By purchasing a subscription, you authorize us and our payment processors to charge your payment method. Usage-based limits may apply to your plan.

Unless otherwise stated:

• subscriptions renew automatically
• upgrades may take effect immediately
• downgrades generally apply at the next billing cycle
• fees are generally non-refundable except where required by law

We may modify pricing, features, or usage limits with reasonable notice.

The Services may rely on third-party providers, including:

• Stripe
• OpenAI
• hosting and infrastructure providers
• analytics providers
• authentication providers

Your use of third-party services may also be subject to their terms and policies. We are not responsible for third-party services.

The Services, including software, APIs, branding, and documentation, are owned by Stykite, Inc. and protected by intellectual property laws. Except as expressly permitted, you may not copy, distribute, modify, sell, sublicense, or create derivative works from any part of the Services.

memgram and related branding are trademarks or product identifiers of Stykite, Inc.

If you believe content hosted through the Services infringes your copyright, please contact vk@memgram.io. Please include sufficient detail for us to review the request.

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee:

• uninterrupted availability
• uptime
• reliability
• error-free operation
• data retention
• compatibility with all systems or models

We may modify, suspend, or discontinue parts of the Services at any time.

To the maximum extent permitted by law, Stykite, Inc. and its affiliates, officers, employees, and suppliers will not be liable for:

• indirect damages
• incidental damages
• consequential damages
• lost profits
• lost data
• business interruption
• security incidents
• model inaccuracies
• AI output errors

Our total liability arising from the Services will not exceed the amount paid by you to Stykite, Inc. during the 12 months preceding the claim.

You agree to indemnify and hold harmless Stykite, Inc. from claims arising from your use of the Services, your Customer Data, your violation of these Terms, or your violation of applicable law or third-party rights.

You may stop using the Services at any time. We may suspend or terminate access to the Services at our discretion, including for:

• violations of these Terms
• abuse or misuse
• security risks
• operational concerns
• non-payment

Termination does not eliminate payment obligations already incurred.

You may not use the Services in violation of U.S. export laws, sanctions programs, or trade restrictions. You represent that you are not located in, or affiliated with, restricted jurisdictions or prohibited parties.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware.

We may update these Terms from time to time. Updated versions will be posted on the memgram website. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
